Terms of Service

These Terms of Service (these "Terms") are an agreement between Franchise KI ("Franchise KI," "we," "us," or "our") and the business you represent ("you" or "your") and govern your use of the Franchise KI Brand Showcase website at showcase.franchiseki.com (the "Site") and the services offered through it for franchise brands and franchisor teams, including listing claims, listing updates, featured placement, and broker-led lead support (collectively, the "Services").

By using the Site, submitting an inquiry through it, or using any of the Services, you accept these Terms. If you do not agree to these Terms, do not use the Site or the Services.

1. Eligibility and Authority

The Site and Services are intended solely for business use by franchise brand owners, franchisors, and their authorized employees, agents, and representatives. By using the Site, you represent and warrant that: (a) you are at least 18 years old; (b) you are acting on behalf of a franchise brand or franchisor and are authorized to act, and to agree to these Terms, on its behalf; and (c) the information you submit is accurate, current, and complete. These Terms bind both you individually and the brand or company on whose behalf you act.

The Site is not intended for individuals seeking to purchase a franchise. Prospective franchisees should use the consumer-facing Franchise KI platform at franchiseki.com, which is governed by its own terms.

2. The Services

Through the Site, you may submit an inquiry to: (a) claim, create, or request updates to a franchise brand listing on the Franchise KI platform; (b) request information about featured placement; and/or (c) request information about broker-led lead support. Submitting an inquiry is a request only. It does not create a listing, transfer control of a listing, enroll you in featured placement or lead support, or obligate Franchise KI to provide any service. Franchise KI may accept or decline any inquiry, claim, or application in its sole discretion.

3. Verification of Listing Claims

Franchise KI may take steps to verify that a person claiming a brand listing is authorized to represent that brand. These steps may include confirming a work email address on the brand's domain, reviewing public records and the brand's own published materials, requesting additional documentation, and contacting the brand directly. You agree to cooperate reasonably with verification. Franchise KI may deny, suspend, revoke, or reassign control of a listing claim at any time if it believes, in its sole discretion, that a claim is unauthorized, duplicative, fraudulent, or disputed, or that doing so is necessary to protect the integrity of the platform. Verification is not a guarantee, certification, or endorsement of any brand, and Franchise KI is not liable for errors in granting or denying a claim made in good faith.

4. Your Content and License to Franchise KI

"Brand Content" means the information and materials you or your representatives provide to Franchise KI in connection with the Services, including brand names, logos, trademarks, descriptions, investment ranges, territory information, categories, images, and other listing data. As between you and Franchise KI, you retain all ownership of your Brand Content.

You grant Franchise KI a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, adapt for formatting, and otherwise use Brand Content for the purposes of operating, providing, marketing, and improving the Franchise KI platform and the Services, including displaying Brand Content in search results, brand profiles, matching experiences, and promotional materials describing brands available on the platform. This license continues for as long as your Brand Content appears on the platform and for a reasonable period thereafter as needed for backups, records, and legal compliance.

You represent and warrant that you have all rights necessary to grant this license and that Brand Content (a) is accurate and not misleading, and (b) does not infringe or misappropriate the intellectual property, publicity, or privacy rights of any third party.

5. Platform Data and Franchise KI Property

The Site, the Franchise KI platform, and all software, designs, text, graphics, logos, scores, AI-generated summaries, matching technology (including PerfectFit AI), and data compilations, other than your Brand Content, are the property of Franchise KI or its licensors and are protected by intellectual property laws. Except for the limited right to use the Site as permitted by these Terms, no license or right to Franchise KI's property is granted to you. You may not scrape, harvest, copy, frame, or create derivative works from the platform or its data, and you may not use the Site or platform data to build or assist a competing product or directory.

6. Featured Placement and Paid Services

Featured placement, broker-led lead support, and any other paid Services are subject to availability, eligibility review, and a separate written order, proposal, or service agreement stating the applicable scope, term, and fees (each, an "Order"). If there is a conflict between these Terms and an Order, the Order controls for that service. No paid service begins, and no fee is owed, until an Order is agreed in writing. Fees stated in an Order are exclusive of taxes, and you are responsible for any applicable taxes other than taxes on Franchise KI's income.

7. No Guarantees; No Franchise Offers; Relationship of the Parties

Franchise KI is a discovery and marketing platform. Franchise KI does not guarantee any level of visibility, traffic, impressions, inquiries, leads, lead quality, candidate quality, meetings, applications, franchise awards, or franchise sales, whether from a free listing, a verified listing, featured placement, broker-led lead support, or any other Service, except as expressly stated in a signed Order.

Franchise KI is not a party to any franchise relationship or franchise agreement between you and any candidate. Nothing on the Site or platform constitutes an offer to sell a franchise. You are solely responsible for your own compliance with all laws applicable to the offer and sale of franchises, including the FTC Franchise Rule and applicable state franchise registration, disclosure, and relationship laws, in all of your dealings with candidates introduced through the platform. Franchise KI does not provide legal, financial, accounting, or investment advice.

The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, fiduciary, or employment relationship. Where Franchise KI provides broker-led lead support under an Order, Franchise KI's role is limited to the services described in that Order.

8. Acceptable Use

You agree not to: (a) submit a claim for a brand you are not authorized to represent; (b) submit false, misleading, or unlawful information, including unsubstantiated earnings claims; (c) interfere with or disrupt the Site or attempt to access systems or data you are not authorized to access; (d) introduce malware or other harmful code; (e) use automated means to access or collect data from the Site without our prior written consent; or (f) use the Site or Services in violation of applicable law.

9. Communications

When you submit an inquiry, you consent to be contacted as described in our Privacy Policy, including by phone, email, and SMS/text message regarding your inquiry and the Services. Consent to marketing communications is not a condition of receiving any Service, and opt-out mechanisms are described in the Privacy Policy.

10. Suspension and Termination

You may stop using the Site at any time and may request removal of your claimed listing control by contacting legal@franchiseki.com. Franchise KI may suspend or terminate your access to the Site or Services, or remove or edit listing content, at any time if it believes you have violated these Terms, if required by law, or to protect the platform or its users. Sections 4 (for the wind-down period stated there), 5, 7, 11, 12, 13, and 14 survive termination.

11. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, FRANCHISE KI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. FRANCHISE KI DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT PLATFORM DATA, SCORES, OR AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) FRANCHISE KI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) FRANCHISE KI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE AND SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO FRANCHISE KI FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (ii) ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You will defend, indemnify, and hold harmless Franchise KI and its owners, officers, employees, agents, and affiliates from and against any third-party claims, demands, actions, and proceedings, and all resulting liabilities, damages, settlements, fines, and reasonable costs and attorneys' fees, arising out of or relating to: (a) your Brand Content; (b) your breach of these Terms or of your representations and warranties in them; (c) your violation of applicable law, including franchise sales and disclosure laws and telemarketing laws, in your dealings with candidates; or (d) any unauthorized claim of a brand listing made by you or with your assistance. Franchise KI will provide you prompt notice of any such claim and reasonable cooperation at your expense, and may participate in the defense with counsel of its choosing. You may not settle any claim in a manner that imposes obligations on Franchise KI without its prior written consent.

14. Governing Law and Venue

These Terms and any dispute arising out of or relating to them, the Site, or the Services are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. The state and federal courts located in Salt Lake County, Utah will have exclusive jurisdiction over any such dispute, and each party consents to personal jurisdiction and venue in those courts. Each party waives any right to a jury trial to the fullest extent permitted by law.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and revise the "Last updated" date above. Changes apply prospectively from the date they are posted. Your continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms. Changes do not modify a signed Order during its then-current term unless agreed in writing.

16. General

These Terms, together with the Privacy Policy and any Orders, are the entire agreement between you and Franchise KI regarding the Site and Services and supersede all prior or contemporaneous understandings on that subject. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force. Franchise KI's failure to enforce a provision is not a waiver. You may not assign these Terms without Franchise KI's prior written consent; Franchise KI may assign them in connection with a merger, acquisition, reorganization, or sale of assets. Notices to Franchise KI must be sent to legal@franchiseki.com; notices to you may be sent to the email address you provide. Neither party is liable for delay or failure to perform due to causes beyond its reasonable control.
